1.1 Read these Digital Trees platform Terms of Use (\u201cTerms\u201d) carefully.<\/p>\n\n\n\n

Digital Trees provides this platform to you,\nyour employees and any other entity on whose behalf you accept these terms\n(collectively \u201cYOU\u201d), subject to these terms.<\/p>\n\n\n\n

These terms are entered into by and between Digital\nTrees and you, and you accept them by; (a) buying a ticket for one of our\nevents, (b) register to one of our events, (c) sign up as a member to our\nplatform, (d) using the platform in any other manner; and \/ or (e)\nacknowledging agreement with these terms. If you do not agree to all of these\nterms, do not use this platform.<\/p>\n\n\n\n

1.2 This platform (\u201cplatform\u201d) includes\nwithout limitation: (a) Online Support and services, and other on-line services\naccessible via the platform (collectively the \u201cServices\u201d); (b) information such\nas technical, contractual, product, program, pricing, marketing, and other\nvaluable information (\u201cInformation\u201d); and (c) content such as data, text,\nsoftware, music, sound, photographs, graphics, video, messages, or other\nmaterials (\u201cContent\u201d). Digital Trees controls and operates its platforms from\nvarious locations and makes no representation that this platform is appropriate\nor available for use in all locations. Digital Trees products and services may\nnot be available in Your location, and deliverables may vary among locations.\nIf You are using the platform on behalf of Your employer, You represent and\nwarrant that You are authorized to accept these Terms on Your employer\u2019s\nbehalf, and that Your employer agrees to indemnify You and Digital Trees for\nviolations of these Terms. In addition to the Terms and unless otherwise noted,\nthe standard Digital Trees terms and conditions of sale in your jurisdiction\ngovern purchases You make through the platform, unless You have in effect a\nseparate valid written purchase or license agreement with Digital Trees for\nthat product or service, in which case that separate agreement governs, and in\ncases of conflict, prevails.<\/p>\n\n\n\n

\u00a0 2.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 YOUR OBLIGATIONS AND CONDUCT<\/a><\/p>\n\n\n\n

2.1 In consideration of Your use of the platform, You agree to: (a) provide accurate, current, and complete information about You as may be prompted by a registration form on the platform (the \u201cRegistration Data\u201d); (b) maintain the security of your password and identification; (c) maintain and promptly update the Registration Data, and any information You provide to Digital Trees, to keep it accurate, current and complete; and (d) accept all risks of unauthorized access to information and Registration Data. You have sole responsibility for the adequate protection and backup of data and\/or equipment used in connection with the platform.<\/p>\n\n\n\n

2.2 You are entirely responsible for all\nContent that You upload, post or otherwise transmit via the platform. You agree\nnot to upload, post or otherwise transmit via the platform Content that: (a) is\ninaccurate, harmful, obscene, pornographic, defamatory, racist, violent,\noffensive, harassing, or otherwise objectionable to Digital Trees or other\nusers of the platform; (b) includes unauthorized disclosure of personal\ninformation; (c) violates or infringes anyone\u2019s intellectual property rights;\nor (d) contains software viruses or any other computer code, files or programs\ndesigned to interrupt, destroy or limit the functionality of any computer\nsoftware or hardware or telecommunications equipment. Digital Trees reserves\nthe right to edit or remove Content that violates these Terms or that contains\nthird-party commercial advertisements.<\/p>\n\n\n\n

2.3 You agree that You will not use the\nplatform to: (a) transmit spam, bulk or unsolicited communications; (b) pretend\nto be Digital Trees or someone else, or spoof Digital Trees or someone else\u2019s\nidentity; (c) forge headers or otherwise manipulate identifiers (including\nURLs) in order to disguise the origin of any Content transmitted through the\nServices; (d) misrepresent your affiliation with a person or entity; (e)\ndisrupt the normal flow of dialogue or otherwise act in a manner that\nnegatively affects other users\u2019 ability to use the platform; (f) engage in\nactivities that would violate any fiduciary relationship, any applicable local,\nstate, national or international law, or any regulations having the force of\nlaw, including but not limited to attempting to compromise the security of any\nnetworked account or site, operating an illegal lottery or gambling operation,\nstalking, or making threats of harm; or (g) collect or store personal data\nabout other users unless specifically authorized by such users.<\/p>\n\n\n\n

3.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 CONFIDENTIALITY OF Digital Trees INFORMATION<\/a><\/p>\n\n\n\n

3.1 You may obtain direct access via the platform to certain confidential information of Digital Trees and its suppliers, including without limitation technical, contractual, product, program, pricing, marketing and other valuable information that should reasonably be understood as confidential (\u201cConfidential Information\u201d). You must hold Confidential Information in strict confidence. Title to Confidential Information remains with Digital Trees and its partners.<\/p>\n\n\n\n

3.2 Your obligations regarding Confidential\nInformation expire five (5) years after the date of disclosure. Upon\ntermination of the Terms or Digital Trees written request, You must cease use\nof Confidential Information and return or destroy it.<\/p>\n\n\n\n

3.3 The Terms imposes no obligation upon You\nwith respect to Confidential Information that You can establish by legally\nsufficient evidence: (a) You possessed prior to Your receipt from Digital Trees,\nwithout an obligation to maintain its confidentiality; (b) is or becomes\ngenerally known to the public through no act or omission by You, or otherwise\nwithout violation of the Terms; (c) You obtained from a third party who had the\nright to disclose it, without an obligation to keep such information confidential;\n(d) You independently developed without the use of Confidential Information and\nwithout the participation of individuals who have had access to it, or (e) in\nresponse to a valid order by a court or other governmental body, as otherwise\nrequired by law, or as necessary to establish the rights of either party under\nthese Terms and as disclosed after prior notice to Digital Trees adequate to\nafford Digital Trees the opportunity to object to the disclosure.<\/p>\n\n\n\n

4.\u00a0\u00a0\u00a0\u00a0\u00a0 CONTENT SUBMITTED TO Digital Trees<\/a><\/p>\n\n\n\n

4.1 Digital Trees does not claim ownership of the Content You place on the platform and shall have no obligation of any kind with respect to such Content. Unless otherwise stated herein, or in Digital Trees\u2019s Legal and Privacy Notices, any Content You provide in connection with this platform shall be deemed to be provided on a nonconfidential basis. Digital Trees shall be free to use or disseminate such Content on an unrestricted basis for any purpose, and You grant Digital Trees and all other users of the platform an irrevocable, worldwide, royalty-free, nonexclusive license to use, reproduce, modify, distribute, transmit, display, perform, adapt, and publish such Content (including in digital form). You represent and warrant that you have proper authorization for the worldwide transfer and processing among Digital Trees, its affiliates, and third-party providers of any information that You may provide on the platform.<\/p>\n\n\n\n

4.2 Digital Trees and its designees reserve\nthe right to monitor, restrict access to, edit or remove any Content that is\navailable via the platform.<\/p>\n\n\n\n

5.\u00a0\u00a0\u00a0\u00a0\u00a0 DELIVERY OF EMAIL<\/a><\/p>\n\n\n\n

Digital Trees will attempt to deliver all of the email that is addressed to Your email address on Digital Trees\u2019s Platform. However, the nature of email is such that Digital Trees cannot guarantee delivery of such email.<\/p>\n\n\n\n

6.\u00a0\u00a0\u00a0\u00a0\u00a0 INDEMNITY<\/a><\/p>\n\n\n\n

You agree to indemnify and hold Digital Trees and its subsidiaries, affiliates, shareholders, officers, directors, agents, licensors, suppliers, alliance members, other partners, employees and representatives harmless from any claim or demand, including reasonable attorneys\u2019 fees, made by any third party due to or arising out of Your Content, Your use of or connection to the platform (including any use by You on behalf of Your employer), Your violation of the Terms, or Your violation of any rights of another.<\/p>\n\n\n\n

7.\u00a0\u00a0\u00a0\u00a0\u00a0 NOTICES; MODIFICATION AND TERMINATION OF SERVICES; AMENDMENT OF TERMS<\/a><\/p>\n\n\n\n

Digital Trees may provide notice to You via email, regular mail, or posting notices or links to notices on the platform. Digital Trees reserves the right at any time to modify, suspend or terminate the Services (or any part thereof), and\/or Your use of or access to them, with or without notice. Digital Trees may also delete, or bar access to or use of, all related Information and files. Digital Trees will not be liable to You or any third-party for any modification, suspension, or termination of the Services, or loss of related information. Digital Trees may amend these Terms at any time by posting the amended terms on this platform.<\/p>\n\n\n\n

8.\u00a0\u00a0\u00a0\u00a0\u00a0 ADVERTISEMENTS AND PROMOTIONS<\/a><\/p>\n\n\n\n

Digital Trees may run advertisements and promotions from third parties on the platform. Your correspondence or business dealings with, or participation in promotions of, advertisers other than Digital Trees found on or through the platform, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between You and such advertiser. Digital Trees is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such non-Digital Trees advertisers on the platform.<\/p>\n\n\n\n

You may find links to other Internet sites or resources on the platform. You acknowledge and agree that Digital Trees is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. Digital Trees will not be responsible or liable, directly or indirectly, for any actual or alleged damage or loss caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such site or resource.<\/p>\n\n\n\n

10.\u00a0 INTELLECTUAL PROPERTY RIGHTS<\/a><\/p>\n\n\n\n

10.1 Except as expressly authorized by Digital Trees or by Content providers, You agree not to reproduce, modify, rent, lease, loan, sell, distribute, mirror, frame, republish, download, transmit, or create derivative works of the Content of others, in whole or in part, by any means. You must not modify, decompile, or reverse engineer any software Digital Trees discloses to You, and You must not remove or modify any copyright or trademark notice, or other notice of ownership.<\/p>\n\n\n\n

10.2 \u201cDigital Trees Trademarks\u201d means all\nnames, marks, brands, logos, designs, trade dress, slogans and other\ndesignations Digital Trees uses in connection with its products and services.\nYou agree to comply with the Digital Trees Trademark and Logo Usage\nRequirements. You may not remove or alter any Digital Trees Trademarks, or\nco-brand your own products or material with Digital Trees Trademarks, without Digital\nTrees\u2019s prior written consent. You acknowledge Digital Trees\u2019s rights in Digital\nTrees Trademarks and agree that any use of Digital Trees Trademarks by You\nshall inure to Digital Trees\u2019s sole benefit. You agree not to incorporate any Digital\nTrees Trademarks into Your trademarks, service marks, company names, Internet\naddresses, domain names, or any other similar designations, for use on or in\nconnection with computer or Internet-related products, services or\ntechnologies.<\/p>\n\n\n\n

10.3 Digital Trees is committed to respecting\nothers\u2019 intellectual property rights, and we ask our users to do the same. If\nYou believe that Your work has been copied in a way that constitutes copyright\ninfringement on our platform, please contact our legal department via email at :\ninfo@digitaltrees.org<\/p>\n\n\n\n

10.4 Unless explicitly stated herein, nothing\nin these Terms shall be construed as conferring any license to intellectual\nproperty rights, whether by estoppel, implication, or otherwise. Permission is\ngranted to display, copy, distribute and download Content owned by Digital\nTrees on this platform provided that: (a) the copyright notice pertaining to\nthe Content remains, and a permission notice (e.g., \u201cUsed with permission\u201d) is\nadded to such Content; (b) the use of such Content is solely for personal and\nnon-commercial use; (c) such Content will not be copied or posted on any\nnetworked computer or published in any medium, except as explicitly permitted\nby valid permission or license covering such materials; and (d) no\nmodifications are made to such Content. This permission terminates\nautomatically without notice if You breach any of the terms or conditions in\nthis Section 10.4. Upon termination, You must immediately destroy any\ndownloaded and\/or printed Content.<\/p>\n\n\n\n

Digital Trees disclaims all express or implied conditions, representations, and warranties of any kind, including any implied warranty or condition of merchantability, satisfactory quality, fitness for a particular purpose, or noninfringement. Digital Trees makes no representations, warranties, conditions or guarantees as to the usefulness quality, suitability, truth, accuracy or completeness of the platform.<\/p>\n\n\n\n

11.2 Digital Trees makes no warranty or\nrepresentation that: (a) the platform will be uninterrupted, timely, secure, or\nerror-free; (b) the results that may be obtained from the use of the platform\nwill be accurate or reliable; (c) the quality of any products, services,\ncontent, information, or other material purchased or obtained from the platform\nwill meet your expectations or requirements; or (d) any errors in the platform\nwill be corrected.<\/p>\n\n\n\n

11.3 You assume all risk for any damage to\nyour computer system or loss of data that results from obtaining any content\nfrom the platform, including any damages resulting from computer viruses.<\/p>\n\n\n\n

LIMITATION OF LIABILITY<\/a><\/p>\n\n\n\n

12.1 To the full extent permitted by law, Digital Trees is not liable for any direct, indirect, punitive, special, incidental, consequential, or exemplary damages (including, without limitation, loss of business, revenue, profits, goodwill, use, data, electronically transmitted orders, or other economic advantage) arising out of or in connection with the platform, even if Digital Trees has previously been advised of, or reasonably could have foreseen, the possibility of such damages, however they arise, whether in breach of contract or in tort (including negligence), including without limitation damages due to: (a) the use of or the inability to use the platform; (b) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained, or messages received or transactions entered into, through or from the platform; (c) statements or conduct of any third party on the platform, including without limitation unauthorized access to or alteration of transmissions or data, malicious or criminal behavior, or false or fraudulent transactions; or (d) content or information you may download, use, modify or distribute.<\/p>\n\n\n\n

12.2 To the extent that any jurisdiction does\nnot allow the exclusion or limitation of direct, incidental or consequential\ndamages, portions of the above limitation or exclusion may not apply.<\/p>\n\n\n\n

13.\u00a0 Digital Trees\u2019S PRIVACY POLICY<\/a><\/p>\n\n\n\n

You consent to the collection, processing and storage by Digital Trees of Your personal information in accordance with the terms of Digital Trees\u2019s Privacy Policy, which is available here. You agree to comply with all applicable laws and regulations, and the terms of Digital Trees\u2019s Privacy Policy, with respect to any access, use and\/or submission by You of any personal information in connection with this platform.<\/p>\n\n\n\n

14.\u00a0 GENERAL TERMS<\/a><\/p>\n\n\n\n

14.1 The Terms constitutes the entire agreement between You and Digital Trees relating to their subject matter, and cancel and supersede any prior versions of the Terms. No modification to the Terms will be binding, unless in writing and signed by an authorized Digital Trees representative. You must not assign or otherwise transfer the Terms or any right granted hereunder. You also may be subject to additional terms and conditions that may apply when You use Digital Trees or third-party products or services.<\/p>\n\n\n\n

14.2 You agree that any material breach of\nSections 2, 3, 4, 6, and 10 of the Terms will result in irreparable harm to Digital\nTrees for which damages would be an inadequate remedy and, therefore, in\naddition to its rights and remedies otherwise available at law, Digital Trees\nwill be entitled to equitable relief, including both a preliminary and\npermanent injunction, if such a breach occurs. You waive any requirement for\nthe posting of a bond or other security if Digital Trees seeks such an\ninjunction.<\/p>\n\n\n\n

14.3 Portugal law govern any action related\nto the Terms and\/or Your use of the platform. Choice of law rules of any\njurisdiction and the United Nations Convention on Contracts for the International\nSale of Goods will not apply to any dispute under the Terms. You and Digital\nTrees agree to submit to the personal and exclusive jurisdiction of the courts\nlocated within the county of  Portugal.<\/p>\n\n\n\n

14.4 Services, Content, and product derived\nor obtained from this platform may be subject to the Portugal export laws and\nthe export or import laws of other countries. You agree to comply strictly with\nall such laws and, in particular, shall: (a) obtain any export, reexport, or\nimport authorizations required by Portugal or your local laws; (b) not use\nServices, Content, or direct product from this platform to design, develop or\nproduce missile, chemical\/biological, or nuclear weaponry; and (c) not provide\nServices, Content, or direct product from this platform to prohibited countries\nand entities identified in the Portugal export regulations.<\/p>\n\n\n\n

14.5 Rights and obligations under the Terms\nwhich by their nature should survive will remain in full effect after\ntermination or expiration of the Terms.<\/p>\n\n\n\n
